1. Acceptance of These Terms

These Terms of Service ("Terms") are a binding legal agreement between you and Plenee LLC, a Florida limited liability company ("Plenee," "we," "us," or "our"). By creating an account or otherwise accessing or using the Plenee mobile and web application and related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference.

If you do not agree to these Terms, do not use the Service.

2. Who May Use Plenee

To use the Service, you must:

The Service is currently available only to US residents. We do not offer the Service to residents of the European Union, United Kingdom, or any jurisdiction in which our use of Plaid or the financial data practices described in our Privacy Policy would require regulatory licensing we do not hold.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you do not, you must not use the Service.

3. Description of the Service

Plenee is a personal financial management application that helps you understand and improve your financial situation. The Service includes:

Beta: The Service is currently in a beta phase. Features may change, and we may modify or discontinue aspects of the Service at any time. We appreciate your patience and feedback as we build.

Plenee is a budgeting and financial tracking tool — it is not a bank, broker-dealer, investment adviser, or credit repair organization, and it does not hold your money, execute transactions, extend credit, or provide regulated financial advice. See Section 8 for details.

4. Your Account

Creating an Account

To access the Service, you must create an account with a valid email address and password. You agree to provide accurate, current, and complete information and to keep it updated.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at security@plenee.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account that occurs because you failed to safeguard your credentials.

One Account per Person

You may create only one account. You may not transfer your account to another person or use another person's account.

5. Connecting Your Financial Accounts (Plaid)

Plenee uses Plaid Technologies, Inc. ("Plaid") to retrieve your financial data from your banks and other financial institutions. When you connect a financial account through the Service, you authorize Plenee and Plaid to access and retrieve your financial data (account balances, transaction history, and account information) from those institutions on your behalf.

Your use of Plaid's services is subject to Plaid's End User Privacy Policy. We encourage you to review it.

You may disconnect any linked financial account at any time from within the app. Disconnecting removes our ongoing access to new data from that account.

Read-only access: Plenee has read-only access to your financial data. We cannot and do not initiate transactions, move money, or alter your account in any way.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You agree not to:

7. Intellectual Property

Our Content

The Service, including its design, text, graphics, software, and all other content (excluding your financial data) is owned by Plenee LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the Plenee name, logo, or other brand elements without our prior written consent.

Your Data

You retain all rights to your personal and financial data. By using the Service, you grant Plenee a limited, non-exclusive license to access, process, and display your financial data solely to operate and improve the Service for you. We do not acquire any ownership interest in your financial data.

Feedback

If you submit ideas, suggestions, or feedback about the Service, you grant Plenee a royalty-free, perpetual, irrevocable license to use that feedback for any purpose, without obligation to you.

8. No Financial Advice

Plenee provides budgeting tools and educational information — not personalized financial, investment, tax, or legal advice. Nothing in the Service constitutes a recommendation to buy, sell, or hold any security, insurance product, or other financial instrument.

The insights, recommendations, and projections displayed in the Service are generated based on the financial data you connect and general financial principles. They are for informational and educational purposes only. Your financial situation is unique, and these outputs may not be accurate or appropriate for your specific circumstances.

Before making any significant financial decision — including changes to how you pay debt, adjustments to your savings strategy, or changes to insurance or investment accounts — consult a licensed financial professional.

Plenee is not a registered investment adviser, broker-dealer, bank, insurance company, or any other type of licensed financial institution. We are not regulated by FINRA, the SEC, or any banking regulator in connection with the Service.

9. Disclaimers and No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLENEE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

Financial data displayed in the Service reflects information retrieved from your financial institutions via Plaid and may not reflect real-time balances or recent transactions. Always verify important financial information directly with your financial institution.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLENEE LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — including but not limited to lost profits, lost data, financial losses, or damages resulting from reliance on information provided by the Service — regardless of the theory of liability and whether or not Plenee has been advised of the possibility of such damages.

In no event shall Plenee's total cumulative liability to you for all claims arising from or relating to the Service exceed the greater of (a) the total fees you paid to Plenee in the twelve (12) months preceding the claim, or (b) $50.00.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Plenee LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

By You

You may delete your account at any time from within the app or by contacting us at hello@plenee.com. Upon deletion, your financial data will be removed as described in our Privacy Policy.

By Plenee

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. We will attempt to provide reasonable notice before any planned service discontinuation.

Effect of Termination

Upon termination, your right to access the Service ends immediately. Sections 7 (Intellectual Property), 8 (No Financial Advice), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination.

13. Dispute Resolution and Binding Arbitration

Informal Resolution First

Before initiating any formal dispute, you agree to contact us at hello@plenee.com and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration

If a dispute is not resolved informally, you and Plenee agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver

You and Plenee agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

Exceptions

Either party may seek relief in small claims court for disputes within that court's jurisdiction. Either party may also seek emergency injunctive or other equitable relief from a court to prevent irreparable harm pending arbitration.

Opt-Out

You may opt out of the arbitration agreement by sending written notice to hello@plenee.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out does not affect any other provision of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. The updated Terms will be posted at this URL with a new "Last Updated" date. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and delete your account before the effective date.
